Confidentiality clause in electronic contracts with a view to American law

This thesis examines the confidentiality clause in electronic contracts and analyzes various aspects of this issue with a view to American law. Given the increasing use of electronic contracts in global trade and the importance of maintaining confidential information, the confidentiality clause is recognized as a key element in this type of contract. This research examines the concepts, legal nature, and implementation of the confidentiality clause in electronic contracts and evaluates the strengths and weaknesses of the Iranian and American legal systems in this regard. In addition, a comparison is made between the American legal system and other countries and suggestions are made to improve the laws and regulations related to confidentiality in electronic contracts. The results of this research show that with the advancement of technology and the development of electronic commerce, the need to strengthen and update confidentiality laws is increasingly felt. The confidentiality clause in electronic contracts in American and Iranian law is influenced by various laws that regulate and protect confidential information in both legal systems. In American law, the Trade Secrets Protection Act, the Patent and Trademark Protection Act, the Electronic Contracts Act, and state laws are among the relevant laws in this area. In Iranian law, the Electronic Commerce Act, the Computer Crimes Act, the Copyright Protection Act, and the Computer Software Creators Protection Act are among the relevant laws in this area.
