بررسی تطبیقی انحلال شرکت های شخص در حقوق انگلیس و ایران

شخصیت حقوقی شرکت¬های شخص در مقایسه با سایر شرکت¬های تجاری وابستگی زیادی به شخصیت شرکا دارد. در شرکت¬های شخص طلبکاران در مرحله نخست برای وصول طلبشان به شرکت مراجعه می¬کنند و اگر نتوانند طلبشان را وصول نمایند می¬توانند به شرکا رجوع کنند. استقبال اشخاص ثالث برای تعامل و عقد قرارداد با شرکت های شخص بیشتر از سایر انواع شرکت هاست، علت اصلی آن است که حقوق طلبکاران در این شرکت ها بهتر تضمین می شود. شرکت های شخص در قانون ایران ویژگی های مشترک با قانون انگلستان دارند، البته می توان گفت که این شرکت ها تا حدودی قواعد مرتبط با شرکت مدنی را نیز به خود اختصاص داده اند. پایان زندگی شرکت تجاری در حقوق ایران دارای دو مرحله است: مرحله انحلال و تصفیه. در حقوق انگلیس مرحله دوم بیشتر مورد توجه بوده است. بر خلاف قانون ایران پایان زندگی شرکت با تصفیه آغاز و پس از تصفیه با تشریفات جزئی و مختصر نام شرکت از دفاتر ثبت شرکت ها حذف و شخصیت حقوقی آن زایل می گردد. در حقوق ایران شرکت های تجاری به سه روش منحل می شود: انحلال ارادی، قانونی و قضایی. در حقوق انگلستان انحلال قانونی یا قهری وجود نداردو غیر از تصفیه ارادی یا اختیاری قانونگذار انگلیسی تصفیه شرکت ها را تنها با یک روش و با صدور حکم تصفیه توسط دادگاه مجاز می داند

The legal personality of corporate entities is highly dependent on the personality of the partners in comparison with other companies. In individual creditors companies, they first come to the company to collect their claims, and if they can not afford to ask, they can go to partners. The welcome of third parties to interact and contract with other companies is more than other types of companies, the main reason is that creditors' rights in these companies are better guaranteed. Individuals in Iran's law have common features with UK law, of course, they can also be said that these companies have somewhat the rules related to civil society. The business life of the company in Iran's law is twofold: the liquidation and purge phase. In English law, the second phase has been more prominent. Contrary to Iran's law, the company's termination of life with the purification of the beginning and after purification with minor and brief formalities of the company name is eliminated from the company's registration offices and the legal personality disappears. In Iranian law, commercial companies are dissolved in three ways: arbitrary, legal and judicial dissolution. In English law, there is no legal or arbitrary dissolution, and, unlike voluntary or optional refinement, the English legislator permits the refinement of companies only in one way and with the issuance of a court order.
